Constitution


ARTICLE I NAME


Section 1 The name of this organization shall be the College Heights Association.

ARTICLE II OBJECT


Section 1 The object shall be to protect and advance the interests of the College Heights neighborhood and its residents.

ARTICLE III MEMBERS


Section 1 All persons residing in the College Heights neighborhood, or persons who have an interest in the College Heights neighborhood, are eligible for membership.

 ARTICLE IV ANNUAL MEETING


Section 1 There shall be an Annual Meeting of the Association in the Fall of each year, to which all members of the Association will be invited.

 ARTICLE V OFFICERS


Section 1 Election of officers will take place at the Annual Meeting of the Association or by mail ballot in the Fall of the year.

Section 2 The officers of the Association shall be the President, Vice President, Secretary, Treasurer, and four (4) Directors. One of the four directors will be responsible for the design and maintenance of the Association’s web page.

Section 3 Nominations for officers shall be presented by a Nominating Committee to be appointed by the President. Additional nominations may be made from the floor.

Section 4 A plurality of votes cast shall determine the selection of officers.

Section 5 The term of office of all officers shall be four years. The terms shall be staggered so that the terms of two officers will expire each year.

ARTICLE VI EXECUTIVE COMMITTEE


Section 1 The Executive Committee shall consist of the elected officers. The Chairman of the Executive Committee shall be the President of the Association.

Section 2 The Executive Committee shall meet at the call of the Chairman or any three members to act on any business deemed to be of interest to the Association.

Section 3 Any vacancy in any of the elective offices will be filled by appointment to be in effect until the next regular election. Appointments will be made by a majority vote of the Executive Committee giving preference to any members of the Association who were nominated but not elected in the last previous election.

Section 4 The immediate past President shall serve as an ex-officio member of the Executive Committee for a period of two (2) years following the election of a new President.

ARTICLE VII AMENDMENTS


Section 1 The Constitution may be amended by a majority vote of the members attending a meeting, or by mail ballot.

Section 2 Amendments may be proposed by any member or officer and the wording of such proposed amendment shall be presented in a notice to members, with the recommendation of the Executive Committee.

ARTICLE VIII INCORPORATION


Section 1 The Association is incorporated under the Non-profit Corporation Law of the Commonwealth of Pennsylvania in compliance with the requirements of 15 Pa. C.S. #7316. The incorporation documents are dated 18 December, 1975.

ARTICLE 1 MEETINGS


Section 1 The Association shall hold an Annual Meeting for the purpose of reviewing actions of the Association over the past year and proposing action for the Association for the coming year.

Section 2 The Association may hold other meetings at any time for the discussion of current business.

Section 3 Written notice of the meetings will be provided the embers giving time, date and place; and a summary of the business to be conducted.

Section 4 The order of business shall be conducted by Roberts Rules of Order, with the President serving a chairman.

ARTICLE II DUES


Section 1 Members shall be requested to pay annual dues of $10.00. Any person eligible for membership may join the Association without contributing dues, or may pay more or less than the nominal $10.00.

Section 2 Additional dues shall be assessed as the need arises as determined by the Executive Committee.

Section 3 An accounting of the dues paid shall be maintained by the Treasurer.

ARTICLE III MEMBERSHIP


Section 1 Application for membership may be received at any time.

ARTICLE IV DUTIES OF THE ASSOCIATION OFFICERS


Section 1 The President shall preside at all meetings of the Association and of the Executive Committee. He/she shall appoint all committees and shall serve as an ex-officio member of such ad hoc committees. He/she shall keep abreast of community affairs and notify the Executive Committee and the Membership of actions pending which affect the College Heights area.
In advance of the Annual Meeting, the President, with the consent of the Executive Committee, shall appoint a Nominating Committee.

Section 2 The Vice President shall perform the duties of the President in his/her absence.

Section 3 The Secretary shall keep a record of all Association Meetings and all meetings of the Executive Committee. He/she shall handle routine correspondence and in general perform the duties of a secretary.

Section 4 The Treasurer shall have charge of all monies belonging to the Association. He/she shall make payments of the obligations of the Association when authorized by the Membership or the Executive Committee. He/she shall collect the dues of the Association and provide a written statement of receipts and expenditures at each annual meeting. He/she shall keep a written record of all monetary transactions of the Association.

Section 5 The four Directors shall assist the officers of the Association in the business of the Association. They shall be members of the Executive Committee. One of these directors shall serve as Association webmaster.

ARTICLE V COMMITTEES


Section 1 The Executive Committee shall consist of the President, Vice President, Secretary, Treasurer and the four Directors of the Association.

Section 2 The Nominating Committee shall prepare a slate of nominees for all vacant positions on the Board in preparation for the election at the Annual Meeting.

Section 3 The President shall appoint such committees as necessary to take action on the business of the Association.

ARTICLE VI AMENDMENTS


Section 1 These by-laws may be amended at any time as desired by the majority of the membership or as deemed necessary by the Executive Committee.
